Within the TECA container the company TECA Fiduciaria e di Revisione s.r.l. operates.

Authorized by Ministerial Decree to exercise the activity of fiduciary registration and organization and auditing in accordance with Law 66/1936.

Registration of assets

The activity of administration with fiduciary registration of third party assets is the typical service of the fiduciary company and consists in the registration of company shareholdings, real estate, current accounts, other securities and rights. The registration takes place in the name of the trustee for the exclusive account of the trustor who retains ownership of the assets while maintaining strict anonymity.

The trust company can act only and exclusively according to the directives of the client with the obligation to reintroduce the assets to the actual owner upon simple request of the same; the trust company also cannot carry out any activity of management of the assets in its name and must act exclusively according to the explicit instructions of the client.

Ancillary activities

Within the scope of fiduciary services there is also a series of other activities such as, for example:

the administration and custody of securities, including the filing and updating of company books and the related fulfilments;
the administration of shareholdings in joint-stock companies in relation to the exercise of the rights to which they are entitled, including those of quotas bound in shareholders' agreements;
the activity of common representative of bondholders of companies with delegated powers to attend and vote at shareholders' meetings.

Tax obligations

In the context of the registration and administration of assets, the trust company is authorized, as withholding agent, to pay withholding taxes on income, such as dividends or interest, collected on behalf of its trustees or to pay substitute taxes on capital gains earned by its clients. The intervention of the trustee as withholding agent may result in the exclusion of the actual recipients from the obligation to declare such income.

Audit and accounting organization

The fiduciary is authorized to provide different types of services to customers such as the auditing and certification of financial statements, balance sheets and financial statements with the exception of companies listed on regulated markets. It is also able to provide

assistance in the preparation and restructuring of accounts;
assistance in the transfer of share packages or quotas, in the transfer of rights on shareholdings and securities;
assistance in generational transfers of control of corporations;;
domiciliation of company headquarters;
management and updating of compulsory data such as the keeping of the single computerised archive on behalf of third parties and the fulfilment of obligations relating to the Bank of Italy and the Italian Exchange Office.
